Cenit will issue 6 million common shares to acquire the balance of Blue Port. Cenit will issue an additional 1.5 million common shares to the Blue Port shareholders provided that Blue Port earns a minimum of $1 Million in net income within two years of the Closing. The acquisition is subject to regulatory and shareholder approval.
